Terms & Conditions
The terms that govern use of The Network Group's website.
Website Terms & Conditions
These Website Terms & Conditions (“Terms”) govern access to and use of websites, webpages, portals, forms, content, and online services operated by The Network Group LLC (“The Network Group,” “Provider,” “we,” “us,” or “our”).
By accessing or using this website, you agree to these Terms to the extent permitted by applicable law. Certain website functions, forms, service requests, purchases, or other transactions may require affirmative electronic acceptance of these Terms. Where affirmative acceptance is requested, your electronic acceptance constitutes your agreement to the displayed Terms.
1. Website Purpose
The Network Group provides information concerning IT managed services, infrastructure consulting, technical support, hardware and software services, technology projects, and related professional services.
Website content is provided for general informational purposes and does not independently create an engagement, customer relationship, service obligation, warranty, SLA, fixed price, or obligation to perform Services.
Customer engagements are governed by an executed MSA, SOW, Service Schedule, Service Order, proposal, or other written authorization accepted by The Network Group.
2. Contractual Documents Control Customer Services
Website content does not replace or modify a signed customer agreement.
Where a visitor becomes a Customer, the applicable executed MSA, SOW, Service Schedule, proposal, or other written customer agreement governs the Services.
In the event of conflict between these Terms and an executed customer agreement, the executed customer agreement controls with respect to the contracted Services.
These Website Terms shall not be interpreted as expanding any Provider warranty, service level, security obligation, support obligation, or liability under a customer agreement.
3. Website Content
We attempt to maintain accurate and current information, but we do not warrant that:
- Website content is complete or error-free;
- Information is current at all times;
- The website will remain continuously available;
- Information is suitable for any specific purpose;
- Services described will be available in every location;
- Pricing displayed online will apply to a particular engagement; or
- Website information constitutes legal, tax, financial, regulatory, compliance, cybersecurity, or other professional advice.
Services, pricing, availability, technologies, vendors, and capabilities may change without notice.
4. No Customer Relationship
Submitting a contact form, requesting information, communicating by email, or contacting The Network Group through the website does not automatically establish a customer, contractual, fiduciary, agency, employment, or other relationship.
No Services are required to commence until appropriately authorized and accepted.
5. Acceptable Use
You may use the website only for lawful purposes. You may not:
- Attempt unauthorized access;
- Probe or scan systems without written authorization;
- Introduce malware or malicious code;
- Interfere with website operation or security;
- Scrape or harvest information through unauthorized automated methods;
- Impersonate another person or entity;
- Submit fraudulent or unlawful information;
- Use the website to facilitate unlawful activity;
- Attempt to reverse engineer protected website functionality; or
- Misuse The Network Group's intellectual property, branding, systems, or content.
6. Intellectual Property
Unless otherwise stated, website text, graphics, logos, layouts, photographs, designs, documentation, trademarks, service marks, code, and other materials are owned by or licensed to The Network Group.
You may access and print reasonable portions for personal or internal business reference.
You may not reproduce, distribute, modify, republish, sell, license, publicly display, create derivative works from, or commercially exploit website content without prior written permission, except as permitted by law.
7. Trademarks
“The Network Group,” associated logos, branding, service names, and marks are owned by The Network Group or their respective owners.
Nothing on the website grants an implied license to use any trademark.
8. Third-Party Links and Services
The website may reference or link to third-party websites, vendors, software platforms, technology products, or other resources.
The Network Group does not control and is not responsible for third-party content, availability, privacy practices, security, products, services, or terms.
Use of third-party services is governed by applicable third-party terms.
9. Website Communications
Information submitted through a website form may be transmitted electronically.
Do not submit passwords, private keys, payment information, confidential credentials, protected health information, highly sensitive personal information, or other sensitive information through ordinary website forms unless The Network Group specifically provides an approved secure method.
The Network Group may retain submitted information for legitimate business purposes, including responding to inquiries, evaluating service requests, maintaining records, communicating with prospective or existing customers, and administering its operations.
10. Privacy
The Network Group may collect and process information as described in its separate Privacy Policy.
The Privacy Policy governs the collection, use, disclosure, retention, and protection of personal information collected through the website to the extent applicable.
These Terms do not replace a separate Privacy Policy.
11. No Warranty
To the maximum extent permitted by law, the website and all website content are provided “as is” and “as available.”
The Network Group disclaims all express, implied, statutory, and other warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted operation.
The Network Group does not warrant that the website or content will be error-free, secure, free of malicious code, or continuously available.
12. Cybersecurity Disclaimer
Website information regarding cybersecurity, backup, infrastructure, technology, support, or system administration is general information only.
No website content represents that any particular technology, configuration, security control, architecture, service, or product will prevent every cyberattack, breach, ransomware event, outage, unauthorized access event, or data-loss event.
Actual cybersecurity responsibilities arise only under a specific customer agreement.
13. Limitation of Liability
To the maximum extent permitted by law, The Network Group shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to website use, including loss of profits, revenue, data, business opportunity, business interruption, downtime, or loss of use.
To the maximum extent permitted by law, The Network Group's total aggregate liability arising solely from website use shall not exceed the amount actually paid by the user to The Network Group for website-related Services during the three (3) month period preceding the event giving rise to the claim.
If the user has paid nothing for website-related Services, liability shall be limited to the maximum extent permitted by law.
Nothing excludes liability that cannot lawfully be excluded.
14. User-Submitted Content
If you submit comments, suggestions, testimonials, files, materials, or other content, you represent that:
- You have the necessary rights to submit it;
- It does not unlawfully infringe third-party rights;
- It is not malicious code;
- It does not violate applicable law; and
- Submission does not require The Network Group to publish or use it.
You grant The Network Group a non-exclusive right to use submitted content solely as reasonably necessary to process the submission, provide requested Services, communicate with you, or operate the business.
15. Service Requests
Submitting a service request through the website does not guarantee:
- Acceptance of the request;
- A particular response time;
- Resolution of the issue;
- Availability of a particular technician;
- Availability of particular hardware or software;
- Fixed pricing; or
- Performance outside an executed customer agreement.
Pricing and scope are governed by the applicable quotation, SOW, Service Schedule, Service Order, or rate schedule.
16. Security of Credentials
The Network Group will not request passwords or authentication secrets through ordinary website communications unless an appropriate secure process is provided.
Users should not disclose credentials through public forms, comments, or unsecured communications.
17. Website Availability and Maintenance
The Network Group may modify, suspend, restrict, or discontinue all or part of the website at any time.
The Network Group is not responsible for temporary unavailability caused by maintenance, upgrades, hosting providers, telecommunications providers, cybersecurity incidents, infrastructure failures, or circumstances beyond its reasonable control.
18. Indemnification
To the maximum extent permitted by law, a user shall defend, indemnify, and hold harmless The Network Group LLC and its owners, employees, contractors, and agents from third-party claims, liabilities, damages, and reasonable costs arising from the user's:
- Unlawful use of the website;
- Violation of these Terms;
- Infringement of third-party rights;
- Submission of unlawful or malicious content;
- Misuse of website systems; or
- Material violation of applicable law through website use.
19. Changes to These Terms
The Network Group may modify these Terms from time to time.
Updated Terms become effective when posted unless a different effective date is stated.
Continued website use after an update constitutes acceptance to the extent permitted by law.
Updates to Website Terms do not unilaterally modify the economic or operational terms of an executed customer MSA, SOW, or Service Schedule.
20. Suspension or Termination of Website Access
The Network Group may restrict, suspend, or terminate website access where reasonably necessary to:
- Protect security;
- Prevent abuse;
- Investigate suspected unlawful conduct;
- Perform maintenance;
- Comply with law; or
- Protect The Network Group, its customers, or third parties.
21. Governing Law
These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles.
22. Dispute Resolution
Before initiating formal litigation concerning these Terms, the parties shall make a good-faith effort to resolve the dispute through direct discussion.
Where legally appropriate, the parties shall attempt good-faith mediation in Connecticut before formal litigation.
Nothing prevents The Network Group from seeking emergency or equitable relief necessary to protect confidential information, intellectual property, website security, credentials, systems, or other legally protectable interests.
23. Venue
Any permitted litigation arising from these Terms shall be brought exclusively in the state courts of Connecticut located in the Judicial District of Hartford, subject to applicable jurisdictional requirements.
Each party consents to jurisdiction and venue in those courts.
24. Severability
If a court determines that any provision is invalid or unenforceable, the provision shall be modified to the minimum extent necessary to make it enforceable where permitted, and the remaining provisions shall remain effective.
25. No Waiver
Failure by The Network Group to enforce any provision does not waive the right to enforce it later.
26. No Personal Liability of Provider Personnel
To the maximum extent permitted by law, claims arising solely from website use shall be asserted against The Network Group LLC and not against its individual members, managers, officers, employees, contractors, agents, or representatives solely because of their role with The Network Group.
27. No Third-Party Beneficiaries
Except as expressly stated, these Terms create no rights for any person or entity other than The Network Group and the applicable website user.
28. Entire Agreement
These Terms constitute the agreement governing general use of the website except where a separate written agreement governs a particular relationship or transaction.
29. Electronic Records
Electronic notices, acknowledgments, records, and signatures may be used to the extent permitted by applicable law.
Connecticut's Uniform Electronic Transactions framework recognizes electronic records, signatures, and contracts within its scope.
